Lately Terms of Service

    Platform Liability Disclaimer

    Lately is a platform for booking services and is not responsible for services rendered. All services are performed by independent providers.

    1. Introduction

    Welcome to Lately! These Terms of Service ("Terms") govern your access to and use of the Lately website, mobile applications, and services (collectively, the "Service"). The Service is an online marketplace that connects users seeking last-minute wellness services ("Clients") with salons and spas offering such services at a discount ("Providers").

    By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

    2. Acceptance of Terms

    By creating an account, accessing, or using the Lately platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional terms and conditions that are referenced herein or that may apply to specific features of the Service. These Terms of Service ("Terms") govern your use of the Lately platform, which is operated by Lately Technologies, Inc. ("Lately", "we", "us", or "our").

    3. Changes to Terms

    We reserve the right to modify or update these Terms at any time, at our sole discretion. We will notify you of any material changes by posting the updated Terms on our website or through other communication channels. Your continued use of the Service after such modifications will constitute your acknowledgment and agreement to the revised Terms.

    4. Service Description

    Lately provides a platform where Clients can discover and book last-minute wellness services offered by Providers at discounted rates. Lately acts solely as an intermediary to facilitate bookings and payments between Clients and Providers. Lately does not provide wellness services itself and is not responsible for the quality, safety, or legality of the services offered by Providers.

    5. Google Calendar Integration

    If you choose to connect your Google account with the Lately platform, you hereby authorize Lately to access your Google Calendar for the sole purpose of facilitating and managing bookings. You acknowledge and agree that Lately will:

    • Access only the minimum data required for booking management, including event details, time zone information, and basic profile information.
    • Never sell, share, or use your Google data for advertising or any other commercial purposes unrelated to the provision of the Service.
    • Provide you with the option to disconnect your Google account at any time through your account settings on the Lately platform.

    6. User Accounts

    A. Account Creation

    To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

    B. Account Security

    You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Lately immediately of any unauthorized use of your account. Lately will not be liable for any loss or damage arising from your failure to comply with these security obligations.

    C. Eligibility

    You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

    7. Client Responsibilities

    • Booking and Cancellations: Clients are responsible for reviewing services, service descriptions, and Lately's cancellation policy.
    • Payments: Clients agree to pay all fees and charges associated with their bookings through the Lately platform.
    • Conduct: Clients agree to treat Providers and their staff with respect and to adhere to the policies and rules of the Provider's establishment.

    8. Provider Responsibilities

    • Service Quality: Providers are solely responsible for the quality, safety, and legality of the wellness services they offer through the Lately platform.
    • Accuracy of Listings: Providers agree to provide accurate and complete information regarding their services, pricing and availability.
    • Compliance: Providers must comply with all applicable laws, regulations, and licensing requirements related to their services.
    • Payments: Lately will process payments from Clients and remit the agreed-upon portion to Providers, subject to any service fees or commissions.

    9. Payments and Fees

    A. Pricing

    Prices for services are set by Providers and displayed on the Lately platform. Lately may add a service fee to the Provider's listed price, which will be clearly communicated to the Client before booking.

    B. Stripe Payment Processing

    Lately utilizes Stripe, a third-party payment processor, to handle all financial transactions. By making a payment through the Service, you agree to be bound by Stripe's Terms of Service and Privacy Policy, which are available on their website. You acknowledge that Lately is not responsible for any errors, security breaches, or other issues that may arise from Stripe's services.

    C. Payment Authorization

    When a User books an appointment through Lately, a valid credit card is required to reserve the appointment. A temporary authorization will be placed on the credit card. The User authorizes Lately to charge the card on file in accordance with this section.

    D. Cancellations

    • Users may cancel their appointment by logging into their Lately account and accessing the My Bookings page.
    • Cancellations made more than two (2) hours before the scheduled appointment time will not incur a fee.
    • Cancellations made within two (2) hours of the scheduled appointment time will incur a late cancellation fee equal to 20% of the service price.
    • Appointments booked within two (2) hours of the scheduled start time are considered within the late cancellation window and are subject to the late cancellation fee if canceled.
    • For deposit-based services: Any deposit collected at the time of booking is non-refundable, regardless of cancellation timing. Deposits serve as a reservation hold and are retained by the Provider.

    E. No-Shows

    • If a User does not arrive within ten (10) minutes of the scheduled appointment start time, the appointment may be considered a no-show.
    • No-shows are subject to a fee equal to 100% of the service price.

    F. Completed Appointments

    For completed appointments, the User's card on file will be charged after the appointment has taken place, for the amount displayed at checkout, unless otherwise specified.

    G. Provider Cancellations

    If a Provider cancels an appointment, the User will not be charged any fees.

    H. Promotional Discounts

    Promotional codes and discounts apply only to completed appointments. Late cancellation and no-show fees are calculated based on the original service price after Lately's standard discount. Reward Codes issued through the Lately Rewards program are subject to the terms outlined in Section 10.

    10. Loyalty Rewards Program

    Lately offers a loyalty rewards program ("Lately Rewards") that allows eligible customers to earn points on completed bookings and redeem them for discount codes.

    A. Earning Points

    Customers earn one (1) loyalty point for every one dollar ($1) of out-of-pocket spend on completed appointments booked through the Lately platform. Points are awarded only after an appointment is marked as completed. Bookings that are cancelled, result in a no-show, or are otherwise not completed do not earn points. Points are not earned on amounts covered by promotional or discount codes.

    B. Reward Threshold and Issuance

    When a customer's points balance reaches five hundred (500) points, Lately will automatically issue a reward code worth fifty dollars ($50) off a future booking ("Reward Code"). The Reward Code will be sent to the email address associated with the customer's account. Any points in excess of the 500-point threshold carry over to the next reward cycle (e.g., a balance of 520 points becomes 20 points after a reward is issued).

    C. Reward Code Terms

    • Reward Codes are valid for sixty (60) days from the date of issuance.
    • Reward Codes may only be applied to a single booking and expire upon use or at the end of the validity period, whichever occurs first.
    • Reward Codes are non-transferable and may only be redeemed by the account holder to whom they were issued.
    • Reward Codes cannot be combined with other promotional codes or offers unless expressly permitted by Lately.
    • Reward Codes have no cash value and may not be exchanged for cash.

    D. Cancellations and Point Deductions

    If a completed booking for which points were awarded is subsequently refunded or reversed, the corresponding points will be deducted from the customer's balance. If the deduction results in a negative balance, the balance will be set to zero. Points will not be awarded for bookings that are cancelled prior to completion.

    E. Program Modifications

    Lately reserves the right to modify, suspend, or terminate the Lately Rewards program at any time, with or without notice. Changes may include, without limitation, adjustments to point accrual rates, reward thresholds, reward values, or expiration policies. Continued use of the platform following any such changes constitutes acceptance of the updated program terms.

    F. Fraud and Abuse

    Any attempt to manipulate, abuse, or fraudulently accrue points or Reward Codes may result in forfeiture of all accumulated points and Reward Codes, suspension or termination of the customer's account, and any other remedies available to Lately under applicable law.

    11. SMS Notifications (Providers)

    Service providers may elect to receive SMS text message notifications regarding bookings and other service-related updates. By consenting to receive SMS communications from Lately, you agree to the following terms:

    A. Consent to Receive SMS Messages

    When you register as a service provider or update your account settings, you may choose to consent to receive SMS notifications from Lately by checking the "I consent to receive SMS messages from Lately" checkbox. Your consent is not a condition of using the Lately platform or receiving services.

    B. Types of Messages

    • Informational Messages: Appointment confirmations, booking notifications, schedule updates, and other transactional communications related to your business on the Lately platform.
    • Marketing Messages: Service updates, promotional offers, platform news, and other marketing communications (only if you have opted in to receive such messages).

    C. Message Frequency and Charges

    • The number of messages you receive will vary based on your booking activity, account settings, and the preferences you select.
    • Messages may be sent using an automatic telephone dialing system (autodialer).
    • Message and data rates may apply based on your mobile carrier's plan. You are responsible for any charges incurred from your mobile carrier.

    D. Opt-Out and Support

    • To Opt Out: You may opt out of receiving SMS messages at any time by:
      • Updating your notification preferences in your provider account settings

    E. TCPA Compliance

    By providing your phone number and consenting to receive SMS messages, you certify that you are the subscriber or authorized user of the mobile phone number provided, and you agree to receive SMS messages from Lately or its service providers at that number. This consent is compliant with the Telephone Consumer Protection Act (TCPA) and other applicable regulations.

    F. SMS Service Provider

    Lately uses Twilio, a third-party SMS service provider, to deliver text messages. By consenting to receive SMS messages, you acknowledge that your phone number and message content will be processed by Twilio in accordance with their terms and privacy policy. Lately does not sell or share your phone number with third parties for their own marketing purposes.

    12. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LATELY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

    13. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LATELY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

    14. Indemnification

    You agree to indemnify, defend, and hold harmless Lately Technologies, Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Service.

    15. Intellectual Property

    All content on the Lately platform, including text, graphics, logos, images, and software, is either the property of Lately, its licensors, or licensed to Lately, and is protected by intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any content without express permission.

    16. Termination

    We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

    17. Governing Law

    These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

    18. Dispute Resolution

    Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.

    Charge Disputes and Issues

    If you wish to dispute a charge or report an issue related to your account or service booking, please contact us at BookLately@gmail.com. Include relevant details about your booking, the disputed charge, or the issue you are experiencing. We will investigate your claim and respond to you within a reasonable timeframe to resolve the matter.
